Seller Agreement

1. Introduction
This Seller Agreement (the "Agreement") is entered into between So Surprised("So Surprised", "we", "us", or "the platform") and you, the person or business applying to list and sell experiences, gift boxes, or character visits on the platform ("you", "your", or "the Seller").
By checking the acceptance box during seller sign-up, you confirm that you have read, understood, and agree to be bound by this Agreement, together with our Terms of Service, Privacy Policy, and Cancellation Policy, each of which is incorporated by reference.
2. Relationship of the Parties
So Surprised operates an online marketplace that connects customers with independent sellers of surprise experiences. You are an independent business and are solely responsible for the services you provide. Nothing in this Agreement creates an employment, partnership, joint venture, franchise, or agency relationship between you and So Surprised.
So Surprised facilitates discovery, bookings, and payment processing. It does not itself provide, supervise, or guarantee the experiences you offer.
3. Eligibility
- You must be at least 18 years of age and able to enter into a binding contract.
- You must be legally permitted to operate your business and provide your services in the province(s) where you offer them.
- You are responsible for obtaining and maintaining any licences, permits, insurance, and certifications your services require by law.
- You must provide accurate business, contact, and payout information and keep it current.
4. Listings and Content
- Your listings must be accurate, lawful, and not misleading, including pricing, inclusions, availability, and service area.
- You must own or have the rights to all photos, videos, descriptions, and other content you upload, and you grant So Surprised a non-exclusive, royalty-free licence to display and promote that content in connection with the platform.
- You may not list prohibited, unsafe, counterfeit, or illegal items or services, or anything that infringes another party's rights.
- So Surprised may review, decline, edit the presentation of, or remove listings that do not meet our guidelines or applicable law.
5. Bookings and Fulfillment
- You are responsible for honouring confirmed bookings and delivering the service as described, on time, and to a professional standard.
- You must keep your availability, service radius, and shipping details accurate so customers are only able to book what you can fulfil.
- Many bookings are surprises for a recipient. You agree to handle recipient and gift details discreetly and only for the purpose of completing the booking.
- If you cannot fulfil a booking, you must notify the customer and So Surprised promptly. Seller-initiated cancellations result in a full refund to the customer as described in our Cancellation Policy.
6. Commission, Pricing, and Payouts
- So Surprised charges a commission of 15% on the value of each completed booking.
- You receive 85% of the booking value, less any applicable taxes on the commission.
- Customer payments are held securely and released to you after the booking is completed, typically within 2–3 business days, subject to our payment provider's processing times.
- You set your own prices. Prices shown to customers exclude sales tax, which is calculated and displayed at checkout.
- So Surprised may withhold, delay, or reverse a payout where a booking is disputed, refunded, fraudulent, or in breach of this Agreement.
7. Taxes
- You are an independent business responsible for your own tax obligations, including registering for, collecting, and remitting GST/HST and any provincial sales tax where required.
- If you are registered for GST/HST, you must provide your registration number so it can appear on customer receipts and invoices.
- Where required by Canadian law, So Surprised may report seller identification and earnings information to the Canada Revenue Agency, including under the reporting rules for digital platform operators.
- Any tax summaries provided to you are for convenience only and do not constitute tax advice.
8. Reviews, Ratings, and Conduct
- Customers may leave reviews and ratings. You may not offer incentives in exchange for reviews, post fake reviews, or attempt to manipulate ratings.
- You must communicate with customers respectfully and may not harass, threaten, discriminate against, or abuse them.
- You may not attempt to take bookings or payments off-platform to avoid commission, or solicit customers to transact outside So Surprised.
9. Compliance, Safety, and Background Checks
You agree to provide your services safely and in compliance with all applicable laws, including consumer protection, health and safety, and privacy laws. Where your services involve entering a customer's home or interacting with children or vulnerable people, you are responsible for conducting yourself professionally and for holding any background checks required by law.
So Surprised may require verification of your identity or business as a condition of approval or continued use of the platform.
10. Account Approval, Suspension, and Termination
- Seller accounts are subject to review and approval before listings go live.
- So Surprised may suspend or terminate your account, remove listings, or withhold payouts if you breach this Agreement, create risk for customers or the platform, or violate applicable law.
- You may stop selling and request account closure at any time, subject to completing your outstanding bookings and obligations.
- Sections relating to payments owed, taxes, liability, indemnification, and dispute resolution survive termination.
11. Liability and Indemnification
You are solely responsible for the services you provide and for any loss, injury, or damage arising from them. To the fullest extent permitted by law, So Surprised is not liable for indirect, incidental, or consequential damages arising out of your use of the platform.
You agree to indemnify and hold harmless So Surprised from any claims, damages, or costs arising from your services, your content, your breach of this Agreement, or your violation of any law or third-party right.
12. Changes to this Agreement
We may update this Agreement from time to time. If we make material changes, we will notify you and, where appropriate, ask you to accept the updated Agreement. Your continued use of the platform after an update means you accept the revised terms.
13. Governing Law
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
